Terms of Use

1. Agreement to Terms By accessing, browsing, interacting with, or performing any transaction on the Prime Panther Platform (including minting, purchasing, transferring, or viewing NFTs), you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must stop using the Platform immediately. 2. Eligibility & Compliance You represent that you are legally permitted to use blockchain-based services in your jurisdiction and that your access does not violate EU, national, international, or regional laws. You are responsible for compliance with all applicable tax, reporting, and regulatory obligations. Access to the Platform is prohibited for individuals or entities subject to sanctions or restrictions under EU, UN, or other applicable sanction regimes. 3. Nature of the Platform The Platform is provided “as is” and solely facilitates the minting and display of digital collectibles. Prime Panther does not operate a marketplace, does not provide financial or custodial services, and does not offer investment products, profit expectations, or guarantees regarding value, appreciation, or utility. 4. Random Assignment & Finality All NFTs are assigned randomly and irreversibly at mint. All purchases, mint fees, blockchain gas fees, and transaction costs are strictly non-refundable. Users acknowledge that minting and interacting with NFTs involves inherent risks, including total loss of funds, and that they proceed at their own risk. No representations are made regarding rarity, traits, market value, desirability, future features, or utility. 5. Secondary Market Fees & Royalties Prime Panther implements a secondary market royalty fee of 2%. This fee is automatically applied and deducted by compatible secondary marketplaces (such as OpenSea, Blur, or Rarible) upon any successful sale or transfer of a Prime Panther NFT for consideration. These royalties are used to fund the ongoing development, marketing, and the long-term sustainability of the Prime Panther ecosystem. By minting or purchasing a Prime Panther NFT, you acknowledge and agree to these automated royalty payments as part of the smart contract logic or marketplace standards. 6. Wallet Ownership & Security You acknowledge full and exclusive responsibility for your wallet, private keys, seed phrase, devices, approvals, transactions, and interactions with smart contracts. Prime Panther cannot reverse, restore, unlock, intervene in, or compensate for losses caused by user error, hacks, phishing, exploits, smart-contract interactions, mis-clicks, or compromised wallets. Any loss or damage resulting from the use of the Platform or NFTs is the sole responsibility of the user. 7. Smart Contracts & Blockchain Risks You understand and accept the inherent risks of blockchain technology, including irreversible transactions, network congestion, chain reorganizations, failed or delayed transactions, fluctuating gas fees, protocol bugs, third-party dependencies, and potential smart-contract vulnerabilities. Prime Panther is not liable for any malfunction, delay, interruption, or loss connected to blockchain operations. Users bear all risks and consequences of using the Platform and interacting with NFTs. 8. Intellectual Property & NFT License Ownership of a Prime Panther NFT grants only the rights explicitly described in the Prime Panther NFT License. 9. Prohibited Use You agree not to use the Platform or any NFT for illegal, harmful, fraudulent, defamatory, infringing, or unauthorized purposes, including money laundering, tax evasion, circumventing regional restrictions, or violating intellectual-property, financial, or consumer regulations. 10. No Guarantees, No Warranties To the fullest extent permitted by law, Prime Panther disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, continuity, availability, or expected performance of the Platform. 11. Limitation of Liability Prime Panther, its owners, contributors, developers, partners, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Platform, NFTs, smart contracts, transactions, third-party services, or user actions. Liability is excluded to the maximum extent permitted by law. Users expressly accept that any risk of loss, including financial loss, rests entirely with them. 12. User-Generated Content & Moderation Users may submit messages, comments, or other content through community or Fanbase features. All submitted content is considered non-confidential and may be publicly visible. Prime Panther reserves the unrestricted right, at its sole discretion, to review, moderate, edit, reject, hide, delay, or remove any submitted content at any time, including after publication, without prior notice and without any obligation to provide reasons. Submission of content does not create any right to publication, continued display, or availability. Prime Panther may correct obvious typographical errors, formatting issues, or remove or modify content that is abusive, misleading, offensive, unlawful, infringing, spam-related, or otherwise inappropriate. By submitting content, users grant Prime Panther a non-exclusive, royalty-free right to display and present such content within the context of the Platform and its community features. 13. Third-Party Services & External Links The Platform may link to or interact with third-party platforms, including marketplaces, wallets, authentication tools, or blockchain explorers. We do not control or endorse such services and assume no responsibility for their content, policies, reliability, security, or functionality. 14. Platform Availability & Changes Prime Panther may modify, suspend, limit, or discontinue any part of the Platform, website, smart contracts, or features at any time without liability, including for maintenance, updates, or circumstances outside our control. Users have no claim to continued availability or specific functionality. 15. Taxation & Reporting You are solely responsible for any taxes, duties, declarations, filings, or financial reports related to minting, holding, selling, exchanging, or transferring NFTs. Prime Panther does not provide tax advice and does not issue tax documentation. 16. Force Majeure Prime Panther is not responsible for any failure or delay caused by events outside its reasonable control, including network outages, blockchain malfunctions, force majeure events, regulatory changes, or service-provider failures. 17. No Partnership or Joint Venture Nothing in these Terms shall be interpreted as creating a partnership, joint venture, employment relationship, or agency between users and Prime Panther. 18. Severability If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. 19. Modifications to the Terms Prime Panther may amend, update, or replace these Terms at any time. Continued use of the Platform after any modification constitutes acceptance of the revised Terms.
